Terms of Service & Policies

DEFINITIONS
1. Definitions in the Supplier’s Core Terms shall be inherited and therefore apply to words and phrases in these Supplementary Terms;
2. In these Supplementary Terms, these additional words and phrases have specific meanings:
  "Registrar" means the domain name registry as selected by the Supplier;
  "Supplementary Terms" means these specific Terms & Conditions;
  "WHOIS" means the Internet database query system that provides technical contact information and other details about a domain name holder.
SERVICES
1. Upon Customer's request and subject to these Supplementary Terms, the Supplier will register an Internet domain name, or renew the Customer's registration of an existing domain name, on behalf of Customer with the Registrar.
CUSTOMER RESPONSIBILITIES
1. The Supplier’s registration or renewal of any domain name is subject to:
  1. The Supplier receiving from the Customer all information needed from Customer in order to complete such registration;
  2. Such domain name not being in violation of any applicable law, rule or regulation or the policies of the applicable Registrar or registry;
  3. Customer's compliance with these Supplementary Terms.
2. Registration of a domain name is subject to availability of such domain name for registration, and the Supplier will not be responsible if a domain name is not available for any reason.
3. The Customer accepts that the Supplier is unable to verify or check for errors in domain registration requests. Accordingly, the Customer is solely responsible for ensuring that a domain name has the correct or intended spelling.
4. The Customer agrees to indemnify the Supplier against any infringement of third-party rights caused by the registration of a domain name for the Customer, and that the Supplier provides no warranty against such infringements.
5. The Customer waives any claims it may have against the Supplier for, and hereby releases the Supplier of and from, any loss, damage, liability or expense arising out of, or relating to, the registration of such domain name in any online or offline network directories, membership lists or registration lists, or the release of the domain name from such directories or lists following the termination of services by the Supplier for any reason.
6. The Customer shall not use or permit use of the domain name, directly or indirectly, in violation of any regulation or law, or for any unlawful purpose, or to promote adult-oriented or "offensive" material, or related to any unsolicited bulk e-mail directly or indirectly (such as by referencing a services provided by the Supplier within a spam email or as a reply back address), or related to ANY unsolicited marketing efforts offline or online, directly or indirectly, or in a manner injurious to the Supplier or Registrar or their reputation, including but not limited to the following:
  1. Usenet spam (off-topic, bulk posting/cross-posting, advertising in non-commercial newsgroups, etc.).
  2. Posting a single article or substantially similar articles to an excessive number of newsgroups (i.e., more than 2-3) or posting of articles which are off-topic (i.e., off-topic according to the newsgroup charter or the article provokes complaints from the readers of the newsgroup for being off-topic).
  3. Sending unsolicited mass e-mails (i.e., to more than 10 individuals, generally referred to as spamming) which provokes complaints from any of the recipients; or engaging in spamming from any provider.
  4. Offering for sale or otherwise enabling access to software products that facilitate the sending of unsolicited e-mail or facilitate the assembling of multiple e-mail addresses ("spamware").
  5. Advertising, transmitting, linking to, or otherwise making available any software, program, product, or service that is designed to violate these terms, including but not limited to the facilitation of the means to spam, initiation of pinging, flooding, mailbombing, denial of service attacks, and piracy of software.
  6. Harassment of other individuals utilizing the Internet after being asked to stop by those individuals, a court, a law-enforcement agency and/or Registrar.
  7. Impersonating another user or entity or an existing company/user/service or otherwise falsifying one's identity for fraudulent purposes in e-mail, Usenet postings, on IRC, or with any other Internet service, or for the purpose of directing traffic of said user or entity elsewhere.
  8. Using the Supplier services to point to or otherwise direct traffic to, directly or indirectly, any material that, in the sole opinion of Supplier, is associated with spamming, bulk e-mail, e-mail harvesting, warez (or links to such material), is in violation of copyright law, or contains material judged, in the sole opinion of Supplier, to be threatening or obscene or inappropriate.
ICANN AND OTHER AUTHORITIES
1. The Customer acknowledges that its rights to any domain name registered or renewed by the Supplier are not being granted by the Supplier but are subject to the rules and regulations of ICANN, the Registrar, the registry and applicable law. Accordingly, the Customer acknowledges that the contract for registration is between the Customer and the Registrar, and that the Supplier is purely acting as an agent for said Registrar.
2. Customer's inability to use a domain name shall not entitle Customer to a refund by the Supplier of any fees paid with respect to the registration of such unusable domain name.
3. The domain name shall be the property of the Customer.
FEES
1. As consideration for the Supplier providing domain name registration services to the Customer, the Customer agrees to pay the Supplier, prior to the approval of the desired domain name registration, the amounts set forth on the Supplier’s website, as amended from time to time, for the initial registration of the domain name and any subsequent renewals.
2. The Customer’s application will not be registered until the Supplier receives payment of the registration fee in cleared funds.
3. If the Supplier does register a domain name prior to payment of the registration fee, the Supplier reserves the right to cancel that registration or restrict use of the domain name until payment has been received.
4. Domain registrations are a bespoke purchase to the Customer's specification and accordingly the Customer, when a consumer, waives any right to a cooling off period that may be applicable. If the Customer as a consumer is not willing to waive such right then the Customer must make the Supplier aware of the same and the Supplier will be unable to register a domain name until after the applicable cooling off period has expired.
5. All fees must be prepaid and are non-refundable, in whole or in part, even if the domain name registration is suspended, cancelled or transferred prior to the end of the registration term. This is due to the bespoke nature of domain name registrations and the Customer accepts this to be a fair apportionment of risk given the Supplier's inability to claim a refund from the relevant registry.
6. In the event of a charge back by a credit card company or other payment provider authorised by the Supplier, the domain name registration shall be transferred to the Supplier as the paying entity for the registration. The Supplier may reinstate the domain name registration at its sole discretion upon its receipt of the registration or renewal fee.
DOMAIN RENEWAL
1. The Supplier shall endeavour to automatically renew a domain name on behalf of the Customer when it is due for renewal subject to the following:
  1. The Customer has a valid and up-to-date credit or debit card on it's account; and
  2. The Customer has not turned off automatic renewal in the Customer's control panel; and
  3. The Customer has not requested the Supplier to turn off automatic payment processing; and
  4. The Customer did not originally pay for the domain registration or transfer with a non-automated payment method, incuding PayPal or Bank Transfer.
2. If any of clauses 6.1.1 - 6.1.4 apply then the Supplier shall not automatically charge the Customer and renew a domain name and the Customer is entirely responsible for any consequences of a domain name not being renewed.
3. Domain names which are automatically renewed by the Supplier will be renewed for the same duration as the initial registration period, unless the Supplier is otherwise instructed by the Customer.
4. The Supplier shall take payment for domain renewals up to 7 days prior to the domain name renewal date in order to ensure the domain name is renewed on time.
5. Domain name renewals will be charged at the Supplier's prevailing rate at the time of the renewal. The Suppliers prevailing renewal rates can be located on its website.
6. If a domain name is not renewed by the applicable renewal date then the domain name shall become an expired domain and clause 7.5 below shall apply.
7. The Supplier’s sole responsibility in connection with any such renewal request will be to process the renewal using the renewal mechanism provided by the Registrar. The Supplier will have no responsibility or liability for any loss, interruption in service, service error or loss of data caused by the Registrar.
8. The Supplier will endeavour to notify the Customer of upcoming domain expirations within 30 days of the expiry date by email. Notifications shall be sent to the Customer's primary contact email address as specified in the client area. The Customer agrees that beyond this email notification, the Supplier bears no other responsibility to notify the Customer of any impending domain name expiration dates, and that the Customer is wholly responsible for ensuring it's domain registrations are renewed in sufficient time.
9. In the event that a domain name is not renewed by its expiry date it shall cease to operate and shall be deemed to be expired and clause 7.5 below shall apply.
DOMAIN EXPIRATION & CANCELLATION
1. Domain cancellations by the Customer must be done through the Customer’s control panel by turning off auto renewal, and must be completed at least 24 hours prior to any payment due date. The payment due date is at least 7 days prior to the expiration date.
2. A registered domain shall expire if the Supplier is unable to take payment via the method stored on the Customer's account, where the Customer has set the domain to not automatically renew, or where the Customer fails to manually renew the domain name by the renewal date.
3. Following the expiry date a domain may enter a grace and/or redemption period. Certain registries do not allow for grace and/or redemption periods as outlined below:
  1. .UK domains, including direct .uk domains and 3rd level .UK domains such as .co.uk, have a 90 day grace period with no redemption fee.
  2. .AE, .AT, .BE, .CO.IL, .CO.NZ, .CO.ZA, .CX, .DE, .ES, .EU, .IM, .PL, .MX, .NL domain names have no grace period due to specific registry rules and therefore go directly redemption.
  3. .CH, .IO, .TK cannot be restored after expiry
4. Domain names from registries which do not allow for a grace and/or redemption period may be unrecoverable by the Customer or the Supplier following the expiry date and in such circumstances the Supplier's agreement with the Customer for that domain name will terminate immediately and without liability to the Supplier. Further, the Supplier is under no duty to attempt to recover such domain names.
5. The Customer acknowledges that upon expiration of a domain name, the Supplier may in its sole discretion carry out the following actions:
  1. Renew the domain;
  2. Park the domain on different nameservers from those set by the Customer;
  3. Where the relevant registry does not allow for grace or redemption periods, cancel the domain as set out in clause 6.13.
6. Provided that the relevant registry for the domain name(s) allows a grace period, the Customer acknowledges that it has up to 16 days following expiry of the domain names ('the Grace Period') to contact the Supplier to retrieve and renew the domain name provided that the Customer pays for said renewal in full and in cleared funds.
7. On receipt of the renewal fee by the Supplier within the Grace Period, the Customer will retain ownership of the domain names and as soon as reasonably practicable the Supplier shall restore the domain names.
8. The Customer acknowledges that following the end of the Grace Period the Supplier may at its sole discretion carry out the following actions:
  1. Change the contact details
  2. Transfer the domain
  3. Auction the domain
9. If the Supplier does not receive the renewal fee within the Grace Period then the Supplier's agreement with the Customer for that domain name will terminate immediately and without liability to the Supplier.
10. Provided that the relevant registry of the domain name(s) allows for a redemption period, if the Supplier receives a request from the Customer to renew an expired domain name after the end of the Grace Period ('the Redemption Period'), the Customer agrees to pay the applicable redemption fee(s) plus the renewal fee(s) for the domain name(s). Both the length of the Redemption Period and the redemption fee varies depending on the registry involved. The Customer agrees that the redemption fees shall be charged as follows:
  1. .CAR, .CARS & .AUTO: $7,000.00 USD
  2. .SECURITY & .PROTECTION: $3,750.00 USD
  3. .THEATER: $849.00 USD
  4. .COLLEGE, .RENT & .XXX: $499.00 USD
  5. .GLOBAL, .CREDITCARD, .BERLIN, .AMSTERDAM, .BIO, .CASINO, .HOST, .MARKETS, .ARCHI, .PHYSIO & .TRADING: $299.00 USD
  6. .COMPANY, .KITCHEN, .SHOES, .CAMP, .CREDIT, .INVESTMENTS, .BAR, .CAMERA, .BUILD, .CLEANING, .PLUMBING, .SKI, .ADULT, .BEST, .CAREER, .CRICKET, .DESIGN, .ENERGY, .GOLD, .GREEN, .JOBS, .KIWI, .LOANS, .LOVE, .NGO, .ONG, .ONLINE, .OOO, .PORN, .PRESS, .SITE, .SOY, .TECH, .TIRES, .VEGAS, .VOTE, .ACCOUNTANTS, .FANS, .STORE & .EARTH: $199.00 USD
  7. All other TLDs: $99.00 USD
11. Customers acknowledge and agree that the Supplier is not obliged to take any action to renew or recover a domain name in the Redemption Period and will only make such attempts once the Customer has paid both the redemption and renewal fees to the Supplier.
12. The Supplier will endeavour to renew domain name(s) on behalf of the Customer. However, the Supplier make no guarantee that attempted renewals, including attempts to renew expired domains, will be successful and it is the Customer's responsibility to check the WHOIS database, and any other source, to ensure the domain name has been renewed.
DOMAIN TRANSFERS & OWNERSHIP
1. The Supplier shall determine the ownership of a domain based on the details held in the WHOIS database. If the WHOIS database details are not determinative then the Supplier shall be entitled to request whatever supporting evidence it may require to ascertain ownership.
2. In the event that ownership of a registered domain name is disputed then the Customer agrees to make all reasonable efforts to resolve such dispute with the third party before involving the Supplier.
3. If the Customer wishes to transfer ownership of a registered domain, it must:
  1. ensure that all necessary consents and permissions to that transfer have been obtained;
  2. deliver to the Supplier documentary evidence of all such relevant consents and permissions;
  3. accept that the Supplier is under no obligation to carry out any transfer request if the Customer fails to satisfy the Supplier that the documentation provided shows the transfer to be properly requested or authorised or where the Customer has not complied with this clause 8.3.
4. The transfer service offered by the Supplier is supplied on the basis that the Customer is solely responsible for changing the tag, in respect of .UK domain names, or in respect of other gTLD domains, completeing the transfer process by having the domain name's administrative contact, as listed in the WHOIS database, click the link to authorise the transfer, to ensure that the transfer completes to the Customer's specifications. If a transfer is cancelled, the Customer will be responsible for contacting the supplier to request a refund for the incomplete transfer, if applicable.
5. The Customer agrees that on to transferring ownership of a registered domain name to another person or registering a domain name on behalf of another person (the "Transferee") the Customer will confirm and prove that the Transferee agrees in writing to be bound by the terms of the Agreement at the Supplier's request.
6. The Supplier will not transfer ownership of a domain name until all fees attributable to the services associated with the account, which are due have been paid by the Customer to the Supplier.
7. In the event that the Supplier receives a complaint in regards to trademark / brand infringement, the Supplier has the right to place a domain name on hold and move into the Supplier's holding account. The Supplier shall take this action if in receipt of a decision from a Domain Dispute Resolution and/or a settlement agreement between the parties concerned. Any renewal payments must be paid to the Supplier by the Customer.
8. In the event of receiving documentation which matches the WHOIS details, the Supplier reserves the right to move the concerned domain name(s) from the current domain name holder's account into the Supplier's holding account, lock the domain and place a registrar hold on it. The Supplier shall not move the concerned domain name(s) from this status until it is satisfied that the dispute has been resolved between the parties concerned, with documentation provided to the Supplier by both parties proving the same. This documentation may include a court order, an email/letter/legal document from the current domain holder and the complainant both stipulating the transfer of the domain to the complainant.
9. The Supplier levies no charge to the Customer to transfer .UK domains to another registrar and the Customer is at liberty to move .UK domains to any other tag via the Supplier's control panel.
REGISTRY TERMS & CONDITIONS
1. All registrations and renewals of .UK domain names, including direct .uk domains and 3rd level .UK domains such as .co.uk, will be subject to the terms and conditions of the Registrar, Nominet Ltd., as published on its web site:

2. All other domain extensions will be subject to the terms and conditions of the Registrar, Directi, Inc., as published here:

3. By submitting an Application to the Supplier for domain name registration under these Supplementary Terms, the Customer agrees to the applicable registrar's terms and conditions. If the Order specifies a Registrar other than one listed in this section, the Customer agrees to the terms and conditions of such registrar as the same may be posted on the web site of such Registrar from time to time
CONTACT INFORMATION
1. The Customer agrees to keep its WHOIS information accurate and up-to-date. The Customer must cause the e-mail address for the Administrative Contact to be the same as the Customer's e-mail address maintained in the Supplier’s billing records. If the e-mail address for the Administrative Contact is not the same as the Customer's e-mail address maintained in the Supplier’s billing records, the Supplier may (but will have no duty to) change the e-mail address for the Administrative Contact in the WHOIS records of the registrar.
LIMITATION OF LIABILITY
1. The Customer agrees that the Supplier shall, under no circumstances, be liable for any special, indirect, incidental, punitive, exemplary, or consequential damages resulting from loss of profits, arising out of or in connection with this Agreement, even if the Supplier has been advised of the possibility of such damages, and in particular the Supplier will not be liable for the following:
  1. Suspension or loss of your domain registration;
  2. Use of your domain name registration;
  3. Interruption of your business;
  4. Access delays or interruptions to any web sites accessed by your registered domain name;
  5. Non-delivery, mis-delivery, corruption, destruction, or modification of data;
  6. Events beyond the reasonable control of the Supplier;
  7. Processing of an Application for domain name registration;
  8. Processing of an application of the Dispute Policy;
  9. The accuracy of information held in the WHOIS database authoritative for the domain registered;
  10. Use by third parties of any publicly searchable data held in the WHOIS database authoritative for the domain registered.
2. The Supplier shall not, under any circumstances, be liable or responsible for any errors, omissions or other actions by the registry administrator arising out of or related to your application, receipt of, or failure to receive a domain name registration.
3. The Supplier maximum aggregate liability shall not exceed the greater of a) The total amount paid by you for registration of the domain name; or b) £50.00 Sterling.
